McCormick “Flavor of Together” Donation Program

TERMS AND CONDITIONS

By participating in the McCormick “Flavor of Together” Donation Program (the “Program”), you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.

Eligibility: Program is open to legal residents of the United States, Canada, Switzerland, El Salvador, the United Kingdom, Poland, France, Portugal, China, Russia, Australia and Spain who are of majority in the country, state or province in which they reside (and at 18 years of age or older). Void outside of the jurisdictions specified and where prohibited by law. All applicable federal, state, provincial and local laws and regulations apply. This Program is in no way sponsored, endorsed or administered by, or associated with Facebook, Twitter, Instagram, Pinterest, LinkedIn or YouTube. By entering, you understand that you are providing your information to McCormick and its affiliates and not Facebook, Twitter, Instagram, Pinterest, LinkedIn, or YouTube.

Program Period & Overview: The Program starts at 12:00:01 p.m. Eastern Time (“ET”) on December 3, 2013 and ends at 11:59:59 p.m. ET on November 30, 2014 (“Program Period”). McCormick & Company, Incorporated (“McCormick”) will donate $1 USD to United Way Worldwide (except in Australia, where McCormick will make a $25,000 USD donation to United Way Worldwide which will not be contingent on the actions of any participants from Australia, and except in the United States, where McCormick will make the donation to United Way of Central Maryland) for each qualified action taken at www.flavoroftogether.com, specified McCormick brand websites and via specified social media channels, up to $1,250,000 USD throughout the Program Period and further subject to the donation caps/amount (identified in Exhibit A below) for each eligible country. United Way Worldwide may within its discretion , provide certain portions of the donations as donor advised gifts to participating local United Way member organizations or partners in each eligible jurisdiction in accordance with applicable IRS international grant making rules. United Way of Central Maryland will, in turn, provide certain portions of the donations to United Way member organizations within the US in accordance with applicable IRS rules. Important Note to Australian Residents: As mentioned above, for the portion of the Program conducted in Australia, McCormick will make a guaranteed $25,000 USD donation to United Way Worldwide, who may provide certain portions of the donations, as donor advised gifts, to participating local United Way member organizations or partners in Australia, which will not be contingent on the actions of any participants from Australia throughout the Program Period. Eligible Australian residents are encouraged to participate and share the Program, however, their participation in the Program will not affect the amount donated.

How to Participate: During the Program Period, visit http://www.flavoroftogether.com/. Then follow the instructions provided to complete a qualified action. Actions include, but are not limited to (a) “liking” a Facebook wall post specified by McCormick; (b) posting a comment on the specified McCormick brand Facebook wall; (c) viewing a Facebook photo/video specified by McCormick; (d) sharing a photo/video on the specified McCormick brand Facebook wall; (e) retweeting a Twitter post specified by McCormick; (f) replying to a tweet specified by McCormick; (g) posting a tweet on Twitter and including a hashtag specified by McCormick; (h) liking a pin specified by McCormick on Pinterest; (i) re-pinning a pin specified by McCormick on Pinterest; (j) liking a photo specified by McCormick on Instagram; (k) commenting on a photo specified by McCormick on Instagram; (l) liking a video specified by McCormick on YouTube; (m) commenting on a video specified by McCormick on YouTube; (n) submitting a story, image, video at flavoroftogether.com, any participating McCormick brand website or on any participating McCormick brand Facebook page; (o) liking a comment specified by McCormick on LinkedIn; (p) commenting on a discussion specified by McCormick on LinkedIn. All qualified actions must be taken and received during the Program Period. Duplicate actions submitted by a participant will be disqualified. McCormick will donate $1 USD to United Way Worldwide (except in Australia, where McCormick will make a $25,000 USD donation to United Way Worldwide regardless of participation and except in the United States where McCormick will make the donation to the United Way of Central Maryland) for each qualified action taken at www.flavoroftogether.com, specified McCormick brand websites and via specified social media channels, up to $1,250,000 USD throughout the Program Period and further subject to the donation caps (identified in Exhibit A below) for each eligible country. To participate via social media, individuals will be required to have a Facebook, Twitter, Instagram, Pinterest, LinkedIn, and/or YouTube account. There is no payment or cost to open any of these social media accounts. For additional details on qualifying actions available that can be taken, visit www.flavoroftogether.com. Payments to United Way Worldwide and to United Way of Central Maryland will be made within ninety (90) days of the end date of the Program Period. Information concerning United Way Worldwide, including financial, licensing or charitable purpose may be obtained, without cost, by writing to: United Way Worldwide, 701 N. Participation Conditions: By participating and submitting an action, each participant represents and warrants that he or she is the author of the action and is the owner of all right, title, and interest in and to the action or has obtained all of the rights, licenses, and permissions to use and transfer rights to such material in writing from any person whose material is featured in the action (or from the relevant person’s parent/legal guardian if any such person(s) is considered a minor in his/her jurisdiction of residence) (for purposes hereof, action includes any and all associated content or material submitted in connection with the action); and that his/her action conforms to these Terms and Conditions, and

· does not include trademarks, logos, brand names, slogans, or copyrighted material not owned by participant or material that is used without permission (including but not limited to company names, music, photographs, motion picture or television program clips or audio clips, works of art, or images published on or in websites, television, movies, or other media) or that otherwise infringes or violates the rights of any third party (including but not limited to, copyrights, trademarks, patents, trade secrets, logos, contract and licensing rights, rights of publicity or privacy, moral rights (i.e., “droit morale”), or any other intellectual property rights) (or, if a resident of Mainland China, any qualified rights);

· except as set forth above, the content of the action is not subject to any third party agreement(s), and McCormick will not be required to pay or incur any sums to obtain further permissions of any person or entity as a result of its use or exploitation of the idea or rights therein or portions, modified versions or derivative works thereof as contemplated in these Terms and Conditions;

· does not defame, slander, libel, misrepresent, or contain disparaging remarks or any other content which could adversely affect the name, reputation, or goodwill of McCormick or any other individuals and/or entities, the determination of which shall remain in the sole discretion of McCormick;

· does not contain content that is unlawful, harmful, threatening, abusive, harassing, tortuous, defamatory, vulgar, obscene, libelous, invasive of another’s privacy, hateful, or racially, ethnically or otherwise objectionable as determined in the sole discretion of McCormick;

· does not contain nudity, pornographic or sexual content, hateful content of any kind (including without limitation racism, sexism, etc.), content which promotes violence or harm to another living creature, or any other offensive, obscene or inappropriate content, the determination of which shall remain in the sole discretion of McCormick;

· does not include threats of any kind or that intimidate, harass, or bully anyone, or invade the privacy of any person, the determination of which shall remain in the sole discretion of McCormick;

· does not violate any applicable federal, local, state, provincial, national or international law or include any content that would encourage or provide instructions for a criminal offense;

· complies with any required permits or similar regulations required by local authorities or property owners and that all required permissions have been obtained (including, but not limited to, permits for filming location) and is documented sufficiently such that participant can show proof of such permissions upon request from McCormick;

· other than McCormick and United Way Worldwide or United Way of Central Maryland, must NOT identify, reference, or depict any other company’s brands, products, or services; and

· must be suitable for presentation in a public forum.

If McCormick determines in their sole discretion that a participant has breached a representation or warranty at any time during the Program, then the action will be disqualified. The Released Parties (as defined below) reserve the right, but do not have the obligation to review all actions received during the Program Period. Only actions that conform to these Terms and Conditions, as determined by McCormick in their sole discretion, will be considered as “qualified actions”. Actions that do not comply with these Terms and Conditions as determined by Released Parties, in their sole discretion, will be disqualified from the Program. Participants agree that Released Parties are not responsible for any unauthorized use or actions by third parties. The Released Parties reserve the right to request at any time proof of any required permissions in a form acceptable to Released Parties. Failure to provide such proof may result in disqualification of an action. Further, McCormick reserves the right in its sole discretion to disqualify from the Program and/or remove from displaying or publishing any action or content that, in its sole discretion, refers, depicts, or in any way reflects negatively upon a Released Party, the Program, or any other person or entity or does not comply with the requirements set forth in these Terms and Conditions.

General Restrictions: McCormick reserves the right to cancel, suspend or modify any part or this entire Program at any time without notice, for any reason in its sole discretion. McCormick’s failure to enforce any terms of the Terms and Conditions shall not constitute a waiver of that or any other provision. McCormick reserves the right to disqualify participants who violate these Terms and Conditions or interfere with this Program in any manner and void all associated likes or other actions and remove any action or content that does not comply with these Terms and Conditions. Should any portion of the Program be, in McCormick’s sole opinion, compromised by virus, worms, bugs, non-authorized human intervention, tampering, fraud, technical failures, or other causes which, in the sole opinion of McCormick, corrupt or impair the administration, security or fairness of the Program, McCormick reserves the right at its sole discretion to suspend, modify or terminate the Program and, if suspended, resume the Program in a manner that best conforms to these Terms and Conditions. CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROGRAM MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, McCormick RESERVES THE RIGHT TO SEEK ANY AND ALL REMEDIES AVAILABLE FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION.

License/Use of Actions: By participating in the Program and submitting an action, except where prohibited by law, each participant grants the Released Parties a worldwide, royalty-free, perpetual, irrevocable, non-exclusive, sub-licensable (including the right to sublicense to further third parties), unconditional, fully paid-up and transferable license to use, reproduce, publish, edit, store, distribute, translate, adapt, and create derivative works of their submitted actions for promotional, advertising, publicity and/or other purposes in any and all media, now or hereafter known, including but not limited to all digital and electronic media, computer, audio and audiovisual media (whether now existing or hereafter devised), in any language, throughout the world, in perpetuity (or, if a French resident, for the duration of rights) and in any manner, for trade, advertising, promotional, commercial, or any other purposes without further review, inspection, notice, approval, consideration, or compensation of participant, and each participant releases all Released Parties from any and all liability related thereto and waives his/her right to be compensated for any content provided (unless prohibited by law). Further, by participating in the Program and submitting an action, except where prohibited by law, each participant waives all moral rights in and to his/her submitted actions in favor of the Released Parties. Nothing contained in these Terms and Conditions obligates McCormick to make use of any of the rights granted herein and participants waive any right to inspect or approve any such use. You represent and warrant that you have the right to grant any and all necessary rights and licenses provided herein, including without limitation, all necessary copyright and other related rights to the content, free and clear of all claims and encumbrances without violating the rights of any person or entity, including any right to privacy or publicity.

General Conditions: By participating in this Program you agree to (i) be bound by these Terms and Conditions (ii) release and hold harmless McCormick, the United Way Worldwide, United Way of Central Maryland, any local United Way member organizations or partners, Facebook, Twitter, Instagram, Pinterest, LinkedIn, YouTube and their respective parent, subsidiary and affiliated companies, retailers, distributors, licensees, manufacturers, web design, advertising, fulfillment and promotion agencies and their respective employees, officers, directors and shareholders (collectively, “Released Parties”) from any claims, actions, injury, loss or damage of any kind resulting from participating in this Program, including the possession, use or misuse of the actions. Released Parties are not responsible for, and you hereby release and hold harmless the Release Parties for, lost, late, undeliverable, misdirected, inaccurate, incomplete, delayed or garbled likes, comments, posts, shares, tweets, pins, or other actions, or for lost, interrupted or unavailable network, server, Internet Service Provider (ISP), website, or other connections, availability or accessibility or miscommunications or failed computer, satellite, telephone or cable transmissions, lines, or technical failure or jumbled, scrambled, delayed, or misdirected transmissions or computer hardware or software malfunctions, failures or difficulties, or for any other errors or problems of any kind, whether typographical, printing, mechanical, human, electronic or otherwise, relating to or in connection with the Program, including, without limitation, any error or problem which may occur in connection with the administration of the Program or the processing of likes, comments, posts, shares, tweets, pins, or other actions regardless of the cause. Released Parties are also not responsible for any incorrect or inaccurate information, whether caused by site users, tampering, hacking, or by any equipment or programming associated with or utilized in the Program. Released Parties are not responsible for, and you hereby release and hold harmless the Release Parties for, any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from participant’s participation in the Program or receipt, download, or use or misuse of any content, or for any liability for damage to any computer or other technology device or computer or technology system resulting from participation in, or accessing or downloading information in connection with, this Program.

McCormick is a global leader in flavor that produces, markets and distributes spices, seasoning mixes, condiments and other flavorful products to the entire food industry. This page is dedicated to the implementation of the "Flavor Of Together" promotional program available at www.flavoroftogether.com, which emphasizes the use of spices and flavors in food. In this context, for every story shared on any of McCormick’s websites or social channels, McCormick will donate $1, up to $1.25 million to United Way to help feel those in need.

Privacy: Any personally identifiable information collected during participation in the Program will be collected by McCormick or its agent, affiliates, or marketers for purposes of the proper administration and fulfillment of the Program as described in these Terms and Conditions and in accordance with McCormick’s Privacy Policy applicable to this Program, as stated at http://www.flavoroftogether.com/Privacy-Policy.aspx.

IF YOU DO NOT AGREE TO THE PRIVACY POLICY OR THESE TERMS AND CONDITIONS, DO NOT PARTICIPATE IN THE PROGRAM OR PROVIDE ANY PERSONAL INFORMATION IN CONNECTION WITH THE PROGRAM.

Disputes/Choice of Law: Unless the laws relevant for the domicile of the participant provide otherwise, this Program is governed by Maryland, USA law, without reference to its conflicts of law principles and is subject to all applicable federal, state, and local laws.

This clause does not apply to residents of Ontario or Quebec. Except where prohibited by law, any and all legal actions or claims arising in connection with this Program shall be resolved individually, without resort to any form of class action, and must be brought in a court of competent jurisdiction in the County of Baltimore, in the State of Maryland, USA. Further, in any such dispute, under no circumstances will participants be permitted to obtain awards for, and hereby waive all rights to claim, punitive, incidental or consequential damages, including attorneys' fees, other than participant’s actual out-of-pocket expenses (e.g. costs associated with participating), and participant further waives all rights to have damages multiplied or increased.
